Terms of Service

These Terms of Service govern your use of HoverFile. By creating an account, using the service, or accessing a shared client portal, you agree to these terms.

HoverFile is operated by Hytreks LLC ("Hytreks," "HoverFile," "we," "us," or "our").

Who these terms apply to
These terms apply to both registered users of HoverFile and people who access a client portal, download files, or otherwise use shared project pages.
You must be at least 18 years old to use HoverFile. If you use HoverFile for a company or other organization, you represent that you have authority to bind that organization to these terms.
What HoverFile does
HoverFile is a hosted software service that lets users create branded project portals, upload digital files, preview those portals, and share file delivery portals with clients.
We may offer free features, paid features, monthly plans, yearly plans, trials, promotions, or other plan structures. At a minimum, some account creation, file upload, and preview features may be available without a paid subscription, while sharing client portals may require a paid subscription.
Your account
You must provide a valid email address to use HoverFile. We use email-based one-time login codes instead of passwords. Those codes are time-limited, and we may refuse, expire, or invalidate them for security reasons.
You are responsible for all activity that occurs through your account, including activity by anyone who gains access to your email inbox or your signed-in browser session. If you think your account or a shared portal has been compromised, contact us promptly at [email protected].
Client portals and access codes
Users may create project-specific client portals and share access codes with their clients or other intended recipients. A portal recipient may use the portal only for the purpose authorized by the user who shared it.
Client portals and access codes are designed as practical access controls for file delivery. They should be treated as obfuscated, convenience-based access controls, not as highly secure storage or highly secure transmission tools.
Files are not end-to-end encrypted. Shared file names, project names, client names, and similar metadata may be visible as part of normal service operation. Do not use HoverFile for content that requires guaranteed secrecy, military-grade security, or regulated storage commitments unless we have expressly agreed to that in writing.
Subscriptions, billing, and cancellation
Paid subscriptions are prepaid and renew automatically until canceled. By starting a paid subscription, you authorize recurring charges using your selected payment method through our billing provider.
You can cancel a paid subscription at any time. If you cancel, your paid access continues through the end of the current paid billing term, and the subscription will not renew after that term ends.
We do not automatically issue refunds when a user cancels a subscription. That said, if you are unhappy with the service, contact [email protected]. We may, in our discretion, try to make it right and may choose to offer a credit or refund on a case-by-case basis.
Files, retention, and deletion
You keep ownership of the files and other content you upload to HoverFile. You give us a limited right to host, copy, process, transmit, display, and otherwise use that content only as needed to provide, maintain, secure, support, and improve the service.
Files are deleted after the retention period shown in the product. Project metadata may remain after file deletion, including information such as project names, client names, dates, file names, file counts, status history, and similar service records.
You may choose to delete files, projects, or your account. Deletion requests may take reasonable time to process, and limited copies may remain in backups, logs, or system records for a reasonable period.
Acceptable use
You may use HoverFile only for lawful business and personal purposes connected to the service.
- You may not upload, share, store, or transmit illegal content.
- You may not upload, share, store, or transmit explicit or sexual content.
- You may not upload, share, store, or transmit content that infringes another person's copyright, trademark, trade secret, privacy, publicity, or other rights.
- You may not upload malware, harmful code, deceptive files, or anything intended to interfere with the service or another person's systems.
- You may not use HoverFile to violate export controls, sanctions laws, or other applicable laws or regulations.
- You may not probe, scan, bypass, or test the security of the service except with our prior written permission.
Our right to remove content or suspend accounts
We may review files, metadata, account details, and service activity as needed to operate, secure, support, enforce, or improve HoverFile.
We may remove content, disable portals, suspend access, or terminate accounts at any time if we believe content or conduct violates these terms, creates legal risk, threatens the service, or is otherwise illegal, explicit, infringing, abusive, or harmful.
We may act immediately and without prior notice where necessary. If we terminate or suspend an account because of prohibited content or conduct, we may do so without refund.
Third-party services
HoverFile relies on third-party services and infrastructure, including cloud hosting, storage, delivery, email, analytics, and payment providers. Those providers may include companies such as DigitalOcean, Cloudflare, Amazon Web Services, Stripe, Google, and others.
Your use of some parts of HoverFile may also be affected by the terms, policies, or technical limits of those third-party providers. We are not responsible for third-party services that we do not control.
Analytics, service operations, and law enforcement requests
We use cookies and similar technologies necessary to operate the service. We may also use analytics and related tools to understand product usage, improve performance, troubleshoot problems, and improve the service.
We do not use or share uploaded user files for purposes unrelated to providing, maintaining, securing, supporting, or improving HoverFile unless we clearly tell you otherwise.
We may preserve, access, or disclose files, metadata, account information, or logs if we believe doing so is required by law, needed to respond to valid legal process, or necessary to protect users, third parties, or the service.
Intellectual property and takedown complaints
HoverFile and its software, design, branding, and related materials are owned by Hytreks LLC or its licensors and are protected by intellectual property laws. These terms do not give you ownership of HoverFile or any of our intellectual property.
If you believe content on HoverFile infringes your rights, send a complaint to [email protected] with enough detail for us to investigate, including your contact information, the material at issue, the basis for your claim, and the location of the allegedly infringing content. We may remove or disable access to disputed material while we review the complaint.
We may suspend or terminate repeat infringers.
Availability and changes to the service
We may change, add, remove, pause, or discontinue any part of HoverFile at any time. That includes features, storage practices, project limits, file limits, retention periods, pricing, and subscription offerings.
If we make a change that materially affects an active paid account, we will try to provide advance notice. If we post updated terms, those changes are effective when posted. For material changes, we will provide notice through the service, by email, or by another reasonable method.
No warranties
HoverFile is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and quiet enjoyment.
We do not promise that HoverFile will be uninterrupted, error-free, completely secure, or suitable for every workflow. We also do not promise that client portals, access controls, or file delivery features will prevent all unauthorized access, interception, copying, loss, or misuse.
Limitation of liability
To the fullest extent allowed by law, Hytreks LLC and its owners, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use.
To the fullest extent allowed by law, our total liability for any claim relating to HoverFile will not exceed the greater of: (a) the amount you paid us for HoverFile during the 12 months before the event giving rise to the claim, or (b) 100 U.S. dollars.
Indemnity
If you use HoverFile as a registered user, you will defend, indemnify, and hold harmless Hytreks LLC and its owners, officers, employees, contractors, and suppliers from claims, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your use of HoverFile, your violation of these terms, or your violation of another person's rights.
Disputes, arbitration, and class action waiver
These terms are governed by the laws of the State of Minnesota, without regard to conflict of law rules.
Before either side starts a formal legal claim, that side must send the other a written notice of the dispute and give the other side 30 days to try to resolve it informally. You can send notices to [email protected] or by mail to Hytreks LLC at the address listed above.
Except for eligible small claims matters, claims seeking only injunctive relief for misuse of intellectual property, or claims that cannot legally be arbitrated, any dispute relating to HoverFile or these terms will be resolved by binding arbitration on an individual basis.
The arbitration will be administered by the American Arbitration Association under its applicable rules. The arbitration may be conducted by document submission, video, phone, or in a mutually agreed location in Minnesota, unless applicable law requires a different location.
You and Hytreks LLC each waive the right to a jury trial and the right to participate in a class action, class arbitration, collective action, or representative proceeding.
General terms
- If a court or arbitrator finds part of these terms unenforceable, the rest will still remain in effect.
- If we do not enforce a provision right away, that does not mean we waive it.
- You may not assign these terms without our prior written consent. We may assign these terms as part of a merger, acquisition, reorganization, or sale of assets.
- These terms are the entire agreement between you and Hytreks LLC about HoverFile, except for any separate written agreement signed by both parties.
